Terms of Service
ValuationOS is in private beta and is currently operated by its founder while a legal entity is being formed. These terms govern your access to and use of the marketing site at valuationos.co and any preview of the product extended to you by invitation.
1. The service
ValuationOS is an AI-orchestrated M&A valuation and due-diligence platform. Access is invitation-only during the beta. No service-level agreement is provided in this phase. The product is offered for evaluation and feedback, not for production reliance.
2. Pre-incorporation status
Until a legal entity is registered, your counterparty is the founder personally, operating in good faith. Once an entity is incorporated, these terms will be reissued under that entity and you will be notified. Continued use after that notification constitutes acceptance of the updated terms.
3. Acceptable use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract the underlying models or prompts.
- Scrape, mirror, or use automated means to crawl the site beyond standard search-engine indexing.
- Submit data you do not have the right to share, including material non-public information you are not authorized to process through third-party tooling.
- Use the platform for unlawful purposes or to violate any third party's rights.
4. Your data, your IP
Documents and information you upload to the platform remain yours. We do not claim ownership of your data and we do not train external models on it without your explicit, separate consent. We process it solely to deliver the product to you, audit it for correctness, and improve our internal extraction logic on your own data only.
5. Beta software and "as-is" disclaimer
The platform is provided on an "as-is" and "as-available" basis. We make no warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, or non-infringement. AI-extracted facts and computed values are decision-support outputs, not financial advice. You remain responsible for verifying outputs before acting on them.
6. Limitation of liability
To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to these terms or the platform shall not exceed one hundred United States dollars (USD 100). We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities, even if advised of their possibility.
7. Termination
You may stop using the platform at any time. We may suspend or terminate your access at any time for any reason, including violation of these terms or end of the beta program. Sections that by their nature should survive termination — including IP, disclaimers, limitation of liability, and governing law — will survive.
8. Changes to these terms
We may update these terms as the product and legal structure evolve. Material changes will be flagged on this page with an updated "Last updated" date and, when appropriate, by direct notice to active beta participants.
9. Governing law
Until a legal entity is incorporated, these terms are governed by the law of the founder's domicile, with disputes resolved in good faith between the parties. Once an entity is registered, this section will be replaced with the entity's chosen governing law and venue, and active users will be notified.
